In the first quarter of 2021, there was a merger of Avenir Medical Poland sp. z o.o., the operator of Twoje Soczewki network, on the one hand, and Perfect Eye Medical sp. z o.o. and Perfect Eye Optic sp. z o.o. on the other. The merger was carried out by increasing the share capital of Avenir Medical Poland sp. z o.o. and contribution by the existing shareholder of Perfect Eye Medical sp. z o.o. and Perfect Eye Optic sp. z o.o. of all shares in these companies by way of contribution in kind to Avenir Medical Poland sp. z o.o., with simultaneous acquisition of new shares in this company. Within the framework of the transaction, Babiaczyk, Skrocki i Wsp\u00f3lnicy sp.k. represented the interests of the heretofore sole shareholders of Avenir Medical Poland sp. z o.o., with partners Miros\u0142aw Babiaczyk and \u0141ukasz Walaszek being responsible for the project. The activities of our law firm included, in particular, drafting and negotiating a memorandum of understanding between the shareholders of all the merging companies, regulating among other things the issues related to the management of Avenir Medical Poland sp. z o.o. after the merger.
