On August 31, 2018, the Minister of Entrepreneurship and Technology presented to the Government a draft of an act aimed at introducing legal changes important for entrepreneurs, including, among others, changes concerning the functioning of commercial companies.
According to the assumptions of the draft, the principles of submitting resignations by members of the board of a limited liability company and a joint-stock company are to change. The amendment introduces the rule according to which in the event that the resignation would lead to a lack of management, the person submitting the resignation will be obliged to convene the shareholders’ meeting in order to appoint a successor. The entry into force of these provisions would therefore mean the removal of the current existing legal loophole.
In addition to the above, the proposed changes also apply to a number of tax acts and the Accounting Act.
