On October 1st 2019 our Law firm’s client, company Uniservices sp. z o. o. as a seller and company TOP- THIMM OPAKOWANIA sp. z o. o. sp. k, member of Capital Group Thimm, as a buyer concluded share sale and purchase agreement of 100 per cent of United Packaging S.A. shares.
United Packaging S.A. is one of the leading producers of packaging made from corrugated cardboard in Poland, which possesses a factory in Skarbimierz near Wrocław, equipped with modern machinery. The company’s balance sheet total exceeds 67.000.00 PLN.
Law firm Babiaczyk, Skrocki i Wspólnicy sp. k. provided Uniservices sp. z o. o. as a seller with a complex legal counseling, which included negotiation of preliminary share sale and purchase agreement as well as transaction closing, after receiving prior consent from the President of the Office of Competition and Consumer Protection. Law firm’s activity involved supporting the seller not only with due diligence audit carried out by the buyer, but also with creation of the escrow account for the financial service of the transaction.
