On June 13, 2019 Polish Parliament passed an amendment of the Code of Commercial Companies, which introduces to polish legal system a new type of capital company – a simple stock – offering company.
According to the amendment share capital is supposed to be at least 1 PLN, and it’s change will not effect in changing the partnership agreement. As a result share capital can consist of the partners’ work or provided services.
A simple stock – offering company will have legal personality, which it will acquire with an entry into the Registry. The company will be represented by the board or council of directors.
According to the project’s justification simple stock- offering company is supposed to support innovative undertakings by corporate character of the company, without partners’ personal responsibility concerning company’s obligations, but not only with freedom to create the relations between partners, but also regarding the management system of the company.
